These Terms & Conditions (“Terms”) govern your access to and use of our website, including any content, features, and services we offer on it (the “Website”), as well as your enrollment in and use of our Remote Patient Monitoring (“RPM”) program. By accessing or using the Website, or by agreeing to participate in our RPM program, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.
1. About Our Services
ProactiveWellness Care, in partnership with your healthcare provider, offers Remote Patient Monitoring services designed to help track and manage certain health conditions — such as hypertension, blood glucose, and other chronic conditions — using connected devices that transmit health readings to your care team.
Our RPM program is provided as a supplement to, and not a replacement for, the ongoing care and clinical judgment of your treating physician or healthcare provider. All clinical decisions, including diagnosis and treatment, remain the responsibility of your healthcare provider.
2. Eligibility & Enrollment
Our services are intended for patients who have been referred by, and are under the active care of, a participating healthcare practice. To participate in the RPM program, you must be able to provide informed consent (or have a legally authorized representative do so on your behalf).
Your willingness to undergo training and onboarding for the RPM program constitutes your consent to participate in remote patient monitoring, including consent to any associated financial obligations described in Section 5 below. If a copay or other cost-share applies to your participation, our clinical team will explain this to you and obtain your verbal consent before enrollment.
3. Devices & Equipment
Devices provided to you as part of the RPM program remain the property of ProactiveWellness Care and are issued to you solely for the purpose of monitoring your health under this program.
You agree to use the device(s) as instructed, take readings at the recommended frequency, and keep the original packaging in the event a return is needed.
If your account becomes inactive because no readings have been submitted, we will attempt to contact you by email, text, and/or phone before your service is discontinued.
If your service is discontinued, you will be asked to return your device(s) to your provider’s office. Devices not returned within the timeframe communicated to you may be considered lost, and you may be charged a replacement fee.
Even after your RPM service ends, you will continue to have access to your personal health records and prior readings through the patient app.
4. Your Responsibilities
As a participant in our RPM program, you agree to:
- Use the devices and app safely, and only as instructed during your training and onboarding session;
- Provide accurate information about your health and contact details, and let us know promptly if this information changes;
- Take readings at the frequency recommended by your care team;
- Contact us or your healthcare provider if you have questions, technical issues, or concerns about your device or readings; and
- Keep your login credentials, access codes, and account information confidential.
5. Fees & Financial Obligations
Certain aspects of the RPM program may be billed to your insurance or may involve a copay or other cost-share, depending on your coverage and plan. Where applicable, your care team will explain any such costs to you before you enroll. By choosing to participate in the RPM program, you accept responsibility for any financial obligations associated with the services you receive, consistent with your insurance coverage and any agreements between ProactiveWellness Care and your healthcare provider.
6. Medical Disclaimer — Not for Emergency Use
THE RPM PROGRAM, THE WEBSITE, AND THE PATIENT APP ARE NOT MONITORED 24/7 AND ARE NOT INTENDED FOR USE IN A MEDICAL EMERGENCY. If you are experiencing a medical emergency, or believe you may be experiencing one, call 911 or go to your nearest emergency room immediately. Do not rely on the RPM program, the Website, or the app to communicate urgent or emergency health concerns.
Readings and information provided through our devices and app are intended to support, not replace, the clinical judgment of your healthcare provider. Any escalation, follow-up, or outreach performed by our clinical or monitoring team is provided on a best-efforts basis and does not guarantee immediate response.
7. Use of the Website
You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party. You agree not to attempt to gain unauthorized access to any part of the Website, other accounts, or any systems or networks connected to the Website.
8. Third-Party Sites and Services
Our website may contain links to third-party sites and services that are not owned or controlled by ProactiveWellness Care. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. We encourage you to review the terms and privacy policies of any third-party site you visit.
9. Privacy & HIPAA
Your privacy is important to us. Our collection, use, and protection of your personal and health information is described in our Privacy Policy, which is incorporated into these Terms by reference.
We maintain administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of protected health information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA). Access to identifiable patient information is limited to authorized personnel who require it to perform their job responsibilities.
10. Intellectual Property
All content on the Website — including text, graphics, logos, and software — is the property of ProactiveWellness Care or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on the Website without our prior written permission.
11. Limitation of Liability
To the fullest extent permitted by law, ProactiveWellness Care and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Website, the RPM program, or the devices provided to you, including but not limited to damages for lost data, missed readings, or delays in communication.
Nothing in these Terms is intended to limit any rights you may have that cannot be limited under applicable law, including in connection with the provision of healthcare services.
12. Termination of Service
ProactiveWellness Care or your healthcare provider may discontinue your participation in the RPM program at any time, including where you and your provider agree to discontinue services, or where no readings have been submitted for an extended period. You may also request to stop participating in the RPM program at any time by contacting your healthcare provider or our team directly.
13. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page, and the “Last Updated” date above will reflect the most recent revision. Your continued use of the Website or continued participation in the RPM program after changes are posted constitutes your acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the state in which ProactiveWellness Care principally operates, without regard to its conflict of laws principles, and subject to applicable federal law.
15. SMS / Text Messaging Program
ProactiveWellness Care operates a text messaging program (the “Program”) to communicate with RPM participants and other individuals who have consented to receive text messages from us, including system OTPs, reminders, patient satisfaction and NPS surveys, program updates, and other service-related or marketing communications.
- Consent: By providing your mobile phone number and consenting to participate, whether verbally during RPM onboarding, in writing, or by another method described to you at the point of collection, you agree to receive text messages from ProactiveWellness Care at that number. Consent to receive text messages is not a condition of receiving clinical care or RPM services except where texting is the agreed method of communicating with your care team.
- Message Frequency: Message frequency varies depending on your enrollment and the type of communication (for example, survey requests, reminders, or occasional program updates). You may receive up to several messages per month.
- Message & Data Rates: Message and data rates may apply. Charges will depend on your mobile carrier and plan.
- Opt-Out: You may opt out of receiving text messages at any time by replying STOP to any message. After opting out, you will receive one final message confirming your opt-out, and no further messages will be sent to that number unless you opt back in.
- Help: Reply HELP to any message for assistance, or contact us at info@prowellcare.com.
- Supported Carriers: Carriers are not liable for delayed or undelivered messages. Not all mobile devices or carriers may be supported.
- No Sale or Sharing of Mobile Numbers: We do not sell, rent, or share your mobile phone number or SMS opt-in consent with third parties for their own marketing purposes. Mobile information is used solely to facilitate the Program described in this Section and is handled in accordance with our Privacy Policy.
